Guide to establish a business corporation in Mexico.
In Mexico, according to the General Law of Business Corporations (Ley General de Sociedades Mercantiles)
there are several types of business corporations. The guide includes the necessary legal requirements for two of them:
a) Sociedad Anónima - S.A. (similar to a US corporation).
b) Sociedad de Responsabilidad Limitada - S. de R.L. (similar to a US limited liability company).
The reason of including merely these two forms of entities in the guide is that they are the most used and convenient under Mexican legislation.
This, particularly because shareholders or partners in such entities, respond for the corporate obligations only to the extent of their contribution
in the social capital, without being personally liable in case the corporation or company cannot fulfill with its commercial or monetary commitments
(exceptions apply in the breach of certain tax obligations).
The guide is intended to be a detailed summary of the essential legal and tax requisites to set up a corporation in Mexico.
